1. General
These terms apply to all services provided by Broeders IT, registered at the Dutch Chamber of Commerce (KVK) under number 97596078, located in Noordwijk, the Netherlands.
By engaging our services, you agree to these terms. We may update these terms periodically; continued use of our services constitutes acceptance of any changes.
2. Services
Broeders IT provides IT consultancy, custom software development, data solutions, and web development services. The specific scope, deliverables, and timeline for each project will be agreed upon in writing before work begins.
3. Quotes and Agreements
All quotes are valid for 30 days unless otherwise stated. A project commences upon written acceptance of a quote or signing of a project agreement. Changes to scope after agreement may result in adjusted timelines and costs.
4. Payment
Invoices are due within 30 days of the invoice date unless otherwise agreed. For larger projects, we may invoice in installments. Late payments may incur statutory interest as permitted under Dutch law.
5. Intellectual Property
Upon full payment, you receive ownership of all custom code and deliverables created specifically for your project. We retain the right to use general techniques, knowledge, and non-proprietary components in future work. Third-party components remain subject to their respective licenses.
6. Confidentiality
We treat all client information as confidential and will not share it with third parties without your consent, except where required by law.
7. Liability
Our liability is limited to the amount paid for the specific service in question. We are not liable for indirect, consequential, or special damages. We maintain professional liability insurance appropriate to our services.
8. Termination
Either party may terminate a project with 30 days written notice. Upon termination, you will be invoiced for work completed up to the termination date, and all completed deliverables will be provided.
9. Governing Law
These terms are governed by Dutch law. Any disputes will be submitted to the competent court in The Hague, the Netherlands.
10. Managed Hosting Services
Broeders IT provides managed hosting services including application hosting, database management, storage, continuous monitoring, and technical support. The specific services, resources, and pricing for each client are defined in an individual service agreement. These general terms apply to all managed hosting arrangements unless explicitly stated otherwise in your service agreement.
10.1 Service Level Agreement (SLA)
We guarantee 99.5% uptime per calendar month for all managed hosting services. Uptime is calculated as: (total minutes in month − unplanned downtime minutes) ÷ total minutes in month × 100.
The following are excluded from downtime calculations: scheduled maintenance windows (communicated at least 48 hours in advance), circumstances beyond our reasonable control (force majeure), and issues caused by client actions or third-party services not under our management.
10.2 SLA Credits
If we fail to meet the 99.5% uptime guarantee, you are entitled to service credits applied to your next invoice:
- 99.0% – 99.4% uptime: 10% credit of monthly fee
- 98.0% – 98.9% uptime: 25% credit of monthly fee
- Below 98.0% uptime: 50% credit of monthly fee
Credits must be requested within 30 days of the affected month. Credits do not exceed 50% of the monthly fee and are not redeemable for cash. This SLA credit is your sole remedy for uptime failures.
10.3 Support & Response Times
Support requests are responded to within 24 hours on business days (Monday–Friday, excluding Dutch public holidays). Critical issues affecting service availability are prioritized and addressed as quickly as possible. Support is provided via email at hello@broedersit.com. Response time refers to initial acknowledgment; resolution time depends on issue complexity.
10.4 Data Ownership & Privacy
All data you store on our managed hosting infrastructure remains your property. Broeders IT acts as a data processor on your behalf, not as data owner. We process your data only as necessary to provide the hosting services. You may request a full export of your data at any time. Data handling complies with GDPR and applicable Dutch privacy regulations.
10.5 Backups
We perform automated daily backups of all hosted applications and databases. Backups are retained for 30 days on a rolling basis. Backups are stored in a geographically separate location from the primary hosting environment. In the event of data loss, we will restore from the most recent available backup at no additional charge. For specific backup requirements beyond our standard policy, please discuss with us during onboarding.
10.6 Security
We implement industry-standard security measures including: encrypted data transmission (TLS/SSL), encrypted data at rest where applicable, regular security patches and updates, firewall and network security controls, and access logging and monitoring. We promptly notify you of any security incidents affecting your data. You are responsible for the security of your application code and user credentials.
10.7 Resources & Scaling
Resource allocations (compute, storage, bandwidth) are specified in your service agreement. If you require additional resources, contact us to discuss scaling options. We will accommodate reasonable scaling requests, which may result in adjusted pricing. We monitor resource usage and will proactively inform you if you are approaching limits. Temporary traffic spikes within reasonable bounds are accommodated without additional charges.
10.8 Maintenance & Updates
Routine maintenance is performed during low-traffic hours when possible (typically evenings or weekends, CET). Scheduled maintenance windows are communicated at least 48 hours in advance via email. Emergency security patches may be applied immediately when necessary to protect the integrity of the service.
10.9 Termination & Data Handover
Either party may terminate managed hosting services with 30 days written notice. Upon termination, we provide a complete export of all your data in standard formats. Data is retained on our systems for 30 days after termination to allow for retrieval, after which it is securely and permanently deleted. Any prepaid fees for the period after termination are refunded.
